1. Acceptance of Terms

Welcome to NB Innovations LLC. These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "Client," or "User") and NB Innovations LLC ("NB Innovations," "we," "us," "our," or "Company") governing your access to and use of our website, products, and services.

By accessing our website, submitting a contact form, engaging our services, or opting into our SMS program, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

2. Description of Services

NB Innovations provides AI-powered business automation services, including but not limited to:

• AI voice agents and AI receptionist services
• Lead generation systems and campaigns
• Database reactivation campaigns
• Social media automation and content scheduling
• AI-driven content creation
• Web design and development
• Custom AI workflow consulting and implementation

Specific deliverables, timelines, and pricing are defined in individual client service agreements or statements of work.

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our services. By using our services, you represent that you meet these requirements and are authorized to act on behalf of your business.

4. Client Responsibilities

As a Client, you agree to:

• Provide accurate, current, and complete information when engaging our services
• Maintain the confidentiality of any account credentials, API keys, or login information shared with us
• Provide timely access to platforms, systems, and information necessary for service delivery
• Comply with all applicable laws and regulations, including telecommunications, marketing, and data protection laws
• Not use our services for any illegal, fraudulent, harmful, or abusive purpose
• Not attempt to reverse-engineer, copy, or resell any AI systems, code, or proprietary tools we deliver without written authorization

5. Payment & Billing

5.1 Fees

Service fees are outlined in individual service agreements. Fees may include one-time setup costs, recurring monthly subscriptions, usage-based charges, or a combination thereof.

5.2 Payment Terms

Unless otherwise stated, fees are due upon invoice and payable via the methods specified by us. Recurring fees are charged automatically per the agreed billing schedule.

5.3 Late Payments

Past-due invoices may incur late fees and may result in suspension or termination of services until balances are paid in full.

5.4 Refunds

All fees are non-refundable unless otherwise stated in writing. Refund eligibility, if any, is governed by the specific service agreement.

6. SMS Messaging Program Terms

6.1 Program Description

NB Innovations operates an SMS messaging program for the purposes of appointment scheduling, service updates, account-related communications, and (with your consent) promotional offers and announcements.

6.2 Opt-In

You opt into our SMS program by:

• Submitting your phone number through our website forms with the consent checkbox checked
• Verbally consenting during a phone call
• Replying YES to a message from us
• Texting a designated keyword to our shortcode or business number

6.3 Opt-Out

To stop receiving SMS messages from us, reply STOP to any message we send. You will receive a confirmation message and will be removed from the messaging program.

6.4 Help

6.5 Carrier Liability

Carriers (including AT&T, T-Mobile, Verizon, Sprint, US Cellular, and other carriers) are not liable for delayed or undelivered messages.

6.6 Privacy

For information on how we handle SMS opt-in data, see our Privacy Policy. We do not share SMS opt-in data with third parties for marketing purposes.

7. Intellectual Property

All content on our website — including text, graphics, logos, design elements, code, and proprietary AI workflows — is the property of NB Innovations LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws.

Upon full payment, Client receives a non-exclusive, non-transferable license to use deliverables created specifically for Client's business. Underlying tools, frameworks, and methodologies remain the property of NB Innovations LLC.

You may not copy, reproduce, distribute, modify, or create derivative works of any NB Innovations LLC property without our prior written consent.

8. Confidentiality

Both parties agree to maintain the confidentiality of any non-public business information shared during the course of the engagement. Confidential information may not be disclosed to third parties without prior written consent, except as required by law.

9. Disclaimers & Warranty

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

While we work hard to deliver quality results, we do not guarantee specific business outcomes such as a particular increase in revenue, leads, conversions, or time savings. Results vary based on industry, market conditions, client execution, and other factors outside our control.

10. Limitation of Liability

To the maximum extent permitted by law, NB Innovations LLC and its officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or business interruption, arising out of or related to your use of our services — even if we have been advised of the possibility of such damages.

Our total liability for any claim arising under these Terms shall not exceed the total fees paid by Client to NB Innovations LLC in the three (3) months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless NB Innovations LLC and its officers, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of our services; (b) your violation of these Terms; (c) your violation of any law or third-party rights; or (d) any content or data you provide to us.

12. Termination

Either party may terminate the engagement in accordance with the terms outlined in the individual service agreement. We reserve the right to suspend or terminate access to our services immediately, without notice, for any breach of these Terms, illegal activity, abusive behavior, or non-payment.

Upon termination, all outstanding fees become immediately due. Sections of these Terms that by their nature should survive termination (such as Intellectual Property, Confidentiality, Limitation of Liability, and Indemnification) shall survive.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Monterey County, California for the resolution of any disputes.

14. Dispute Resolution

The parties agree to attempt to resolve any disputes through good-faith negotiation before resorting to formal legal proceedings. If informal resolution fails, disputes shall be resolved through binding arbitration administered in accordance with the rules of the American Arbitration Association, except where prohibited by law.

15. Changes to Terms

We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with an updated "Last Updated" date. Your continued use of our services after changes are posted constitutes acceptance of the revised Terms.
